Particulars of Organization, Functions & Duties
[Section-4 (1) (b) (i)]
Odisha Coal and Power Limited (OCPL) is a state run PSU constituted in 2015. OCPL got incorporated as a wholly owned subsidiary company of OPGC Ltd (Odisha Power Generation Corporation Limited) on 20th January, 2015 with the main objective of mining and supply of coal to the unit 3,4,5&6 Units of OPGC . Now OCPL is joint venture Company between Govt. of Odisha and OPGC, where OPGC is having 51% and Govt. of Odisha having 49% share.
OCPL has been allotted with Manoharpur and Dip side of Manoharpur Coal Block in Sundergarh district. A small acorn which has just germinated in the land of Lord Jagannath in the year of NabaKalebar has now a company of national importance. During the Covid-19 epidemic and Coal crisis in the country, OCPL has produced coal as per the target set by Ministry of Coal and Govt. of India and supplied the same to OPGC and near by Industries.

Board Committees and their responsibilities
1. The Audit Committee reviews quarterly/annual financial statements, Over see the adequacy of internal control systems, internal audit reports and ensure independence of auditors.
2. The Corporate Social Responsibility Committeeformulates and recommends the CSR policy to the Board and monitors CSR budget, activities and expenditure
3. The Human Resource(HR) Committee provides various inputs on HR matter to the Board .
4. POSH Committee
The Company has constituted an internal complaint committee under section 4 of The Prevention of Sexual Harassment Act, 2013 for women at workplace
5. The Environment, Health and Safety (HSE) Committee reviews the implementation of recommendations of safety audit find outs, oversees the implementation of relevant policies and strategies.
Audit Committee:
As a measure of good Corporate Governance,OCPL volunteered to adopt governance norms of the corporate administration and in order to provide assistance to the Board of Directors in fulfilling its oversight responsibilities, an Audit Committee has been constituted by the Board in its 19th Meeting held on 2nd July, 2016 to review the adequacy and effectiveness of internal audit mechanism and to monitor the implementation of internal audit recommendations including those relating to strengthening of company's internal control system against unscrupulous, unethical and fraudulent transactions.
The Company had held four Audit Committee meetings during the financial year under review.
Vigil Mechanism
The Company believes in the conduct of the affairs of its constituents in a fair and transparent manner by adopting the highest standards of Professionalism, Honesty, Integrity and Ethical behaviour. Pursuant to Section 177(9) of the Act, a vigil mechanism was established for directors and employees to report to the management instances of unethical behaviour, actual or suspected, fraud or violation of the Company’s code of conduct or ethics policy. The employee has an option to approach the Ethics Officer. Whistle Blower Policy is available on the Company’s website at URL: https://www.ocpl.org.in

Appointment of Tax Auditor and GST Auditors of the Company.
Recommendation for Appointment of Cost Accounting Firms for Maintenance of Cost Records of the Company.
Examination of the financial statement and the Statutory Auditors’ report thereon;
Review of the draft replies of the Management on the Comments of the C&AG and the report of the Statutory Auditors on the Standalone and Consolidated Financial Statement of the Company.
Review and monitor the auditor’s independence and performance and effectiveness of audit process;
Scrutiny of inter-corporate loans and investments;
Evaluation of internal financial controls and risk management systems;

There is no Government budgetary support provided for functioning of OCPL. The budgetary support for capex expenditure is managed mainly from external borrowings. OCPL also prepares revenue budget every year. Expenditure incurred by OCPL is governed by these budgets
