Particulars of Organization, Functions & Duties

[Section-4 (1) (b) (I)]

1. Objective/ Purpose of the Public Authority:

To provide quality and uninterrupted power supply to the people of Odisha by establishing a reliable and secure transmission network.

2. Mission/ Vision:

Transmission of quality, reliable and secure power with minimum transmission loss at a competitive price.

3. Brief History of the Public Authority and Context of its Formation:

OPTCL was formed in March 2004 under the Companies Act, 1956 as a company wholly owned by the Government of Odisha to undertake the business of transmission and wheeling of electricity in the State.

OPTCL became fully operational with effect from 9th June 2005 consequent upon issue of Odisha Electricity Reform (Transfer of Transmission and Related Activities) Scheme, 2005 under the provisions of Electricity Act, 2003 and the Odisha Reforms Act, 1995 by the State Government for transfer and vesting of transmission related activities of GRIDCO with OPTCL. The Company has been designated as the State Transmission Utility in terms of Section 39 of the Electricity Act, 2003.

4. Duties of the Public Authority:

Transmission of power from Gencos to Discoms.

5. Main Activities/ Functions of the Public Authority:

The main activities of this unit is protection of transmission lines and transformers .Testing, commissioning attending faults in substation equipment like power transformer ,circuit breakers current transformer, voltage transformer, electromagnetic, static and numerical protective relays , battery and battery chargers etc in 9 nos of substations in Dhenkanal and Angul district.
6. List of Services being provided by the Public Authority with a brief write up on them:

  1. PLCC/SCADA System maintained by 12 S/S under Telecom Division Meramunali.
  2. Backup Control Centre / Sub-Div. function at Meramundali maintained by this unit.
  3. Backup proction /Carrier intertripping system in all 220kv / 400kv lines are maintained.
  4. All out door equipments of PLCC /SCADA related to above s/s  are maintained.
  5. Power backup system for PLCC/SCADA system at above s/s are maintained.
  6. Official works along with payments executive and nonexecutives, vehicles
    7. Mechanism Available for Monitoring the Service Delivery and Public Grievance Resolution:
    Due to insufficient staff the grievance re-dressal cell did not reform.

Procedure Followed in Decision Making Process

[Section-4 (1) (b) (iii)]

OPTCL being a Company registered under the Companies Act, 1956, all provisions of the Act are applicable to the Corporation except those exempted. The Board of Directors of the Corporation have been delegated with the powers as per provisions of the Companies Act, 1956 which are envisaged in the Memorandum of Association and Articles of Association of the Corporation as under:

Powers of Directors:

The business of the Company shall be managed by the Board who may exercise all such powers of the Company and do all such acts and things as are not, by the Act, or any other act or by the Memorandum or by the Articles of the Company required to be exercised by the company in general meeting, subject, nevertheless, to these Articles, to the provisions of the Act or any other Act and to such regulations being not inconsistent with the aforesaid

regulations or provisions, as may be prescribed by the Company in general meeting but no regulation made at any general meeting shall invalidate any prior Act of the Board which would have been valid if that regulation had not been made. Provided that the Board shall not, except with the consent of the Company in general meeting.

sell, lease or otherwise dispose of the whole, or substantially the whole of the undertaking of the Company, or where the Company owns more than one undertaking of the whole, or substantially the whole, of any such undertaking; remit, or give time for the repayment of any debt due by a director; invest, otherwise than in trust securities the amount of compensation received by the company in respect of the compulsory acquisition of any such undertaking.

Borrow moneys where the moneys to be borrowed, together with the moneys already borrowed by the Company (apart from temporary loans obtained from the Company's bankers in the ordinary course of business, will exceed the aggregate or the paid up capital of the Company and its free reserves.

Contribute to charitable and other funds not directly relating to the business of the Company or the Welfare of its employees, any amounts the aggregate of which will, in any financial year, exceed fifty thousand rupees or five percent of its average net whichever greater.

The Board of Directors have delegated powers to the CMD & other functionaries for efficient functioning of the corporation.

Norms for Discharge of Functions

Project execution under OPTCL for different transmission lines and sub stations are being carried out as per different engineering practices, Construction Manuals etc. All procurements are being done as per OPTCL procurement Policy and with some provisions of OPWD code. Operation and Maintenance are being done as per the Grid Code. Tariffs are implemented as per the per the guidelines of OERC

Particulars of Arrangement in Formulation of Policy

[Section-4 (1) (b) (vii)]

  • The basic polices of the company are formulated at the Board of Directors level, which is laid down n consonance with the instructions, guidances and polices received feom the government from time to time.
  • The policies and decisions taken by the Board are communicated to all concerned department /functional heads for information . For this purpose, office orders and circulars are issued.

  • The three functional Directors viz. Directos (Finanace), Directos (Engineering) and Directos (HRD), oversees the formulation of the Policies and their implementation through respective departmental  heads i.e. CGM, Sr. GM, GM and rest of the officers and support staff for this purpose.
  • Different cases pertaining to different departments are handled as per the set procedure and policy and in tune with the laid down delegation of powers. The matters are processed and reached up to the respective competent authority and after the decision the same is implemented accordingly.
