Particulars of organization, Functions & Duties

[Section-4 (1) (b) (i)]

The objective of the organization is to construct Roads. Building, Bridges and all other construction works including designing etc.

To executes orders given by the Govt. through Works Deptt. such as feasibility Study. Survey and investigation of work.

The Function of the Organization

The name of the Company is "Odisha Bridge and Construction Corporation limited".
The Registered Office of the Company will be situated in the State of Odisha.
Objects for which the Company is established are:

(A) Main objects to be pursued by the Company on its incorporation are:

To construct, execute, carry out. improve, work develop, administer manage, control or maintain in Odisha and elsewhere all types of Bridges, buildings & other constructions, installation, erections irrigation project channels and other structures, works & conveniences pertaining thereto.
To buy sell and deal in cement, stone, iron and steel and to get. Work, shape, and hew. Carve, polish, crush and prepare for market or use stone of all kinds and to undertake the manufacture of lime, cement, mortar, concrete, bricks, and building materials of all kinds.

(B) Objects incidental or ancillary to the attainment of the main objects specified in clause(A) above are:

To collect as Agent of State Government toll on vehicles for the use of the bridges, bridge works and approach roads to bridges which are entrusted to the corporation by the Slate Government.
To purchase, take on lease or otherwise acquire by transfer any bridges owned by the Slate Government for the purposes of construction, maintenance, toll collection management or control.
To invite quotation, enter into negotiations and contracts for the business of the company.
To acquire, establish, construe; provide, maintain and administer factories, townships, estates, railway sidings, building yards, walls water reservoirs, channels, pumping installations, purification plants, pipe lines, garages, storages sheds and accommodation of all description connected with the main business of Corporations.
To undertake the procurement, purchase of manufacture of and dealings in cement, lime, minerals, gravel, sand. coke, fuel artificial stone and builder's requisites of all kinds conductive to the attainment of main objects.
To procure, purchase or timber, plumber, iron and to act as wood merchants, timber growers, importers and exporters, saw mills and dealers in all kinds of goods, plants, furniture and builders requisites and to purchase, take on lease or otherwise acquire, plan!, cut and deal in forest or timber lands and estate of every description, conductive to the attainment of main objects.
To undertake work as civil engineers, mechanical engineers, electrical engineers, sanitary and water engineers, and plumbers, brass founders, metal workers, machinists, smiths and tool makers, and to manufacture, buy sell, exchange, install, work, alter, improve, manipulate, otherwise deal prepare for market, import or export, let on hire all kinds of plant and machines wagons, tolling stock apparatus tolls, utensils, substances, material and things necessary and convenient for carrying on any of the main business which the Corporation is authorized to carry on or which is usually dealt in by persons engaged m such business.
To purchase, take on lease under concession or otherwise lands, buildings work mines, minerals, deposits, mining rights, plantations, forests and any rights and privileges or interest therein and to explore, work, exercise, develop and to turn into account the same.
To search for and to purchase or otherwise acquire from any Government. State or Authority and licenses., concessions, grants, decrees rights, powers and privileges whatsoever which may seems to the Corporation capable of being turned to account and m particular any water-rights or concessions either for the purpose of obtaining motive power or otherwise and to work, develop, carry exercise and turn to account the same.
To apply for purchase or by any other means acquire and protect, prolong and renew, whether in India or elsewhere, any patents, patent rights, brevets invention licenses, protections, concessions and the like, conferring any exclusive or non-exclusive or limited right to use. or any secret or other information as to any invention which may appear likely to be advantageous or capable of being used or useful to the purposes of the Corporation or the acquisition of which may seem calculated directly or indirectly to benefit the Corporation and to use exercise develop and turn to account the property, rights or information so acquired and to manufacture under or grant licences or privileges m respect of the same, and to spend money in experimenting upon and testing and in improving, seeking to improve any patent, inventions or rights which the Corporation may acquire or propose to acquire.

To construct, maintain, lay down , carry out, work sell, let on hire and deal m all kinds of works machinery, apparatus, conveniences, and things capable of being used in connection with any of the main objects of the Corporation.
To be interested in promote and undertake the formation, establishment and maintenance of such institution, businesses or companies ( industrial engineering agricultural trading, manufacturing or others) as may be considered to be conducive to the profit and interest of the Corporation, and to carry or any other business ( industrial engineering, agricultural trading, manufacturing or others) which may seem lo the Corporation capable of being conveniently carried on in connection with any of the main objects or otherwise calculated directly or indirectly or render any of the Corporations property or rights for the time being profitable and also to acquire, laid promote, aid, foster or subsidies, acquire interests in any industry or undertaking in the Country.
To create any Depreciation Fund: Reserve fund. Sinking fund; insurance fund or any oilier special fund whether for depreciation, or for repairing, improving, extending, or maintaining any of the properly of the Corporation, or for any other purposes conducive lo the interests of the Corporation.
To provide for the welfare of persons in the employment of the company and the wives, widows and families of such persons by establishing provident and other funds and other schemes like pension, insurance, gratuity etc. and by grants of money and other payments.
Subject to the provisions of the Companies Act. 1956. and rules framed there under and direction issued by the Reserve Bank of India from time to time to raise loan from Commercial Banks, financial Institutions, the State Government and the members of public generally to carry out the projects and the objects of the Corporation.
To acquire by concession, grant, purchase, less. Licence or otherwise either absolutely or conditionally and either solely or jointly with others any lands, buildings mines, mineral, easements, wax leaves privileges, rights, licenses, power and concessions and in particular, any water-rights or concession for the purpose of obtaining motive power land any machinery, plant, utensils, goods trade marks and other movable and immovable property of any description which the Company may think necessary of convenient for the purpose or its main business or which may seem to the Company capable of being turned to account.
To enter in to any contract or arrangement for the more efficient of the business of the Company or part thereof and to subject contracts from time to time upon such terms and conditions as may be thought expedient.
To arrange for carriers by land, sea and air, conducive to the attainment of its main objects.
To purchase, lake on lease or in exchange or under amalgamation. Licences or concession or otherwise absolutely or conditionally, solely or jointly with others an make, construct, maintain, work, hire. hold, improve alter, manage, let. sell, dispose of exchange, roads, canals, watercourses, ferries, piers, aerodromes, lands, buildings, water houses, works, factories, mills, workshops, railway sidings, tramways, engines machinery and apparatus, water-rights, way leaves, trade marks, patents and designs privileges or rights of any description or kind.
To establish, provide, maintain and conduct or otherwise subsidies research laboratories and experimental workshops for scientific and technical research and experiments to undertake and carry on scientific and technical research and experiments and tests of all kinds, to promote studies and researches both scientific and technical, investigations and inventions by providing, subsiding or assisting laboratories workshops, libraries, lecturers, meetings and conferences and by providing or constituting to the remunerations, of scientific or technical purposes, or teachers and by providing or constituting to the award of scholarships, prizes, grants to students or otherwise and generally to encourage promote and reward studies, researches investigation, experiments tests and inventions of any kind that may be considered likely to assist and business which the Corporation is authorized to carry on.
Subjects to the provisions of the Companies Act. 1956, to acquire and undertake the whole or any part of the business, property and liabilities of any person, or company carrying or any business which the Corporation is authorized to carry on. or possessed of property suitable for the purposes of the corporation.
To let out on hire any of the Company whether immovable or movable including all and every description of machines, apparatus and appliances.
To enter into partnership or into any arrangement for sharing or pooling of profits amalgamation, union of interests co-operation, joint venture, reciprocate concession; or otherwise or amalgamate with any person or Company carrying on or engaged in. or about to carry on or engage in. any business or transaction which this corporation is authorized to earn' on or engage in any business undertaking or transaction which may seem capable of being carried on or conducted so as directly or indirectly benefit this corporation.
Subject to the provisions of the Companies Act. 1956. to lend money on such terms and conditions as may seem expedient and to guarantee the performance of contracts in connection with the business of the company, but the company shall not do any banking business under the Banking Regulation Act, 1949.
Subject to the provisions o! the Companies Act. 1956.''to take or otherwise acquire, and hold shares in any other Company having objects altogether or in part similar to those of the Corporation and to take or otherwise acquire shares in any such Company if the acquisition of such shares seems likely to promote further or benefit the main business or interests of this corporation.
To enter into am arrangements with the Government of India or any local or Stale Government of India or with the Government of any other state, or with any authorities local or otherwise or other persons that may seem conducive to the Corporation's objects or any of them and to obtain from them any rights, powers and privileges, licenses, grants and concessions with the Corporation may think it desirable to obtain and to carry out. Exercise and comply with any such arrangements, rights privileges and concessions.

To promote and undertake the formation of any institution or Company for the purpose of acquiring all or any of the property rights and liabilities of the corporation or of any other purpose which may seem direct!) or indirectly calculated to benefit the corporation or from am subsidiary company or companies.
Subject to the provisions of Companies Act. 1956. and Rules framed there under and directions issued by the Reserve Bank of India from time to time to invest and deal with the money of the corporation not immediately required in any securities, shares, investments, properties, movable and immovable and in such manner as may from time to time be determined and to sell, transfer or deal with the same.
To make. draw, accept, endorse, execute and issue cheques, promissory notes, bills of exchange, bills of lading, debentures and other negotiable or transferable instruments, m connection with business of the company.
Subject to the provisions of the Companies Act. 1956 and Rules framed there under and directions issued b\ the Reserve Bank of India from time to time to borrow or rise or to receive money on deposit at interest or otherwise in such manner as corporation may think hi. and in particular b\ the issue of debentures or debenture stock convertible into shares of this corporation or perpetual annuities, and in security of any such money so borrowed, raised or received to mortgage pledge or change the whole or any part of the property, assets or revenue of the corporation present or future including its uncalled capital. b\ assignment or otherwise or to transfer or convey the same absolutely in trust and to purchase, redeem kor pay of any such securities.
Subject to the provisions of the Companies Act,1956 and Companies (Court) Rules. 1956 to distribute am of the property of the Company in the event of its winding up among the members in specie or kind but so that no distribution amounting to reduction of capital be made except with the sanction (if any) for the time being required by law.
To sell, let, improve, manage, develop, exchange, lease, mortgage, enfranchise, dispose of turn to account or otherwise deal with, all or any part of the property and right of the corporation and the undertakings of the corporation of any part thereof for such consideration as the corporation may think fit and in particular for shares and debentures of any other company having objects altogether or in part similar to those of this corporation and if though fit to distribute the same among the share holders of the corporation subject to the provisions of the Companies Act. 1956.
To pay for any properties, rights or privileges acquired by the Corporation either in share of the corporation or partly in cash.
To do all or any of the above things as principals, agents, contractors, trustees or otherwise and either alone or in conjunction with others.

(C) Other objects- Nil
The liability of the members is limited.
The authorized share capital of the company is Rs.20,00,00000.00 (Rupees twenty crore), divided into Rs.20,00,000.00 (twenty lakh) equity share of Rs.100.00 (Rupees one hundred ) each with powers to increase or reduce the capital of the company and to divide the shares in the capital for the time being into several classes and to attach thereto respectively, such preferential, guaranteed qualified or special rights privileges and conditions as may be determined by or in accordance with the Articles of Association of the company and to vary, modify, amalgamates or abrogate any such rights, privileges or conditions. In such manner as may for the time being be provided by the Articles of Association subjects, however lo the provisions of the companies Act. 1956.

To collect toll from RD & R&B gates on behalf of State Govt.

organizational structure

All the powers of the management of the affair of the Corporation are vested with the Board of Directors. The Board thus becomes the working organ of the Corporation. They are exclusively empower to manage & are exclusively responsible for that management. As the 100% share of the Corporation is of Government and the Directors of the Board are being appointment by the Governor of Odisha, the overall control upon the powers of the Directors are only those envisaged by the Company Act.1956/2013. The Company's Memorandum & Articles of Association & since the Corporation hold own by the Government, the policies of the Government are implemented through P.F. Department. Finance Department & Works Department. All the Technical Personnel's are on deputation from the Government of Odisha enjoys for the same power are they would have enjoyed had they not been on deputation to this Corporation. But his/her responsibility and accountability will be considered and exercised as per the O.P.W.I). Code. For smooth functioning of the Corporation work the Board delegated the following power and authority.

6	Chief Finance Officer		1. Assignment of DDO Charge.		1. Sub-secrion (1) of section 134 of the Act, requires the CFO to sign rhe financial Statements, as he is responsible for overseeing the financial activitics of an entire corroration.
					2. The CFO will be responsible for financial plcrnning and monitoring of cash flows.
					3. The CFO being an internal person in the organization has responsibility towards presenting the financial statments truely and fairly which are subsequently audited by the statutory auditors of the corporation.
					4. All the files relating to financial matrer shall be routed through the Chief Financial Officer.
					5. As the head of the finance section, he shall be the joint signatories in the bank accounts of the Corporation.
					6. Being a Key Managerial Personnel (KMP) as per Companies Act 2013, the CFO is declared as an officer in default for the purpose of any provisions of this act.
					7. He will perform & discharge all the statutory rolls and responsibilitie, as per rhe Companies Act 2013 and other assignments as and when rcquired by thc Corporation.
7	General Manager-PICO-cum-PIO(RTI)				1. Assembly Question reply,Training & innovation research and Quality Control,Monitoring of website & Dashboard ,Budget and funds Control,Projects Documentation,Technical Presenttation of products by different agencies& PIO (RTI) for Project related matters.
8	Manager Finance				1. Deal all the Financial matters.
9	Company Secretary				1. Compliance of applicable provisions of the Companies Act, Rules & other related legislations.
					2. Preparation of agenda papers for the Board meeting, preparation of minutes of Board & other committee meetings, shareholders' meeting etc.
					3. coordination with different sections at Head office, establishment, & liasoning with Govt. departments for related matters.
					4. Functioning as contact officer for Assembly Questions.
					Other miscellaneous iobs and such other duties as may be assigned from time to time.

Procedure Followed in Decision Making Process

[Section-4(1)(b) (iii)]

The decision-making process in the Corporation is very transparent and effective. The proposals emanating from any branch are thoroughly examined by concerned wings like finance, technical and HR wings as per delegation of Power of the Corporation.
After thorough deliberation by constituted committees (if any), the decisions are taken by the respective officials according to the delegation of power of the Corporation or by the Board, as the case may be.

The OBCC Ltd. is incorporated under the Companies Act, 1956. It is a separate legal entity. It is managed by a Board of Directors consisting of Government Directors and Independent Directors.
The day-to-day Management of the Corporation is looked after by the Managing Director as authorized by the Board of Directors.
However, being a State Govt. Undertaking the polices of the State Govt. as applicable are complied with through its Administrative Department.
Besides, various policies are framed by the BOD for discharging effective and efficient operations of the Corporation.
