Particulars of organization, Functions & Duties

[Section-4 (1) (b) (i)]

    The objective of the organization is to construct Roads. Building, Bridges and all other construction works including designing etc.

    To executes orders given by the Govt. through Works Deptt. such as feasibility Study. Survey and investigation of work.

The Function of the Organization

  1. The name of the Company is "Odisha Bridge and Construction Corporation limited".
  2. The Registered Office of the Company will be situated in the State of Odisha.
  3. Objects for which the Company is established are:

(A)  Main objects to be pursued by the Company on its incorporation are:

(B)    Objects incidental or ancillary to the attainment of the main objects specified in clause(A) above are:

  1. (C) Other objects- Nil
  2. The liability of the members is limited.
  3. The authorized share capital of the company is Rs.20,00,00000.00 (Rupees twenty crore), divided  into Rs.20,00,000.00 (twenty lakh) equity share of Rs.100.00 (Rupees one hundred ) each  with powers to increase or reduce the capital of the company and to divide the shares in the capital for the time being into several classes and to attach thereto respectively, such preferential, guaranteed qualified or special rights privileges and conditions as may be determined by or in accordance with the Articles of Association of the company and to vary, modify, amalgamates or abrogate any such rights, privileges or conditions. In such manner as may for the time being be provided by the Articles of Association subjects, however lo the provisions of the companies Act. 1956.

  1. To expand its business by use of men and machinery through adoption of improved Construction Technology in order to achieve quality and timely completion of the project.
  2. To execute the assigned work by taking a proactive and responsible approach to towards the society with due consideration of the environment.

 

MANDATE:

      To construct, execute, improve, manage, control or maintain in Odisha and elsewhere all types of Bridges, buildings & other constructions, installation, erections, irrigation project channels and other structures, works & conveniences pertaining thereto.

      Our vision at Odisha Bridge & Construction Corporation is to maintain our leadership position in the state of Odisha's construction industry by providing the best of services in terms of quality, productivity, stakeholders satisfaction & environmental sustainability.

DEVELOPMENTAL OBJECTIVES

 

  1. To introduce greater office automation and computerization in all areas of business & operational activities like Human Resources Management, Finance and Accounts, Monitoring and to apply Project Planning & Management.
  2. Proper maintenance of HRIS (Human Resource Information System) is to be maintained in order to achieve optimum and efficient utilization of available manpower.

 

COMMERCIAL OBJECTIVES

 

      The OB&CC always emphasis on quality of services & timely completion of assignment in order to avoid cost over-run and providing optimum satisfaction to the general public as a whole.

Manual-2
All the powers of the management of the affair of the Corporation are vested with the Board of Directors. The Board thus becomes the working organ of the Corporation. They are exclusively empower to manage & are exclusively responsible for that management. As the 100% share of the Corporation is of Government and the Directors of the Board are being appointment by the Governor of Odisha, the overall control upon the powers of the Directors are only those envisaged by the Company Act.1956/2013. The Company's Memorandum & Articles of Association & since the Corporation hold own by the Government, the policies of the Government are implemented through P.F. Department. Finance Department & Works Department.

All the Technical Personnel's are on deputation from the Government of Odisha enjoys for the same power are they would have enjoyed had they not been on deputation to this Corporation. But his/her responsibility and accountability will be considered and exercised as per the O.P.W.I). Code. For smooth functioning of the Corporation work the Board delegated the following power and authority.

  1. Supervise and monitor the projects under Ekamra Division, Infra Division, Cuttack-I & II .
6 Chief Finance Officer   1. Assignment of DDO Charge.   1. Sub-secrion (1) of section 134 of the Act, requires the CFO to sign rhe financial Statements, as he is responsible for overseeing the financial activitics of an entire corroration.
2. The CFO will be responsible for financial plcrnning and monitoring of cash flows.
3. The CFO being an internal person in the organization has responsibility towards presenting the financial statments truely and fairly which are subsequently audited by the statutory auditors of the corporation.
4. All the files relating to financial matrer shall be routed through the Chief Financial Officer.
5. As the head of the finance section, he shall be the joint signatories in the bank accounts of the Corporation.
6. Being a Key Managerial Personnel (KMP) as per Companies Act 2013, the CFO is declared as an officer in default for the purpose of any provisions of this act.
7. He will perform & discharge all the statutory rolls and responsibilitie, as per rhe Companies Act 2013 and other assignments as and when rcquired by thc Corporation.
7 General Manager-PICO-cum-PIO(RTI)       1. Assembly Question reply,Training & innovation research and Quality Control,Monitoring of website & Dashboard ,Budget and funds Control,Projects Documentation,Technical Presenttation of products by different agencies& PIO (RTI) for Project related matters.
8 Manager Finance       1. Deal all the Financial matters.
9 Company Secretary       1. Compliance of applicable provisions of the Companies Act, Rules & other related legislations.
2. Preparation of agenda papers for the Board meeting, preparation of minutes of Board & other committee meetings, shareholders' meeting etc.
3. coordination with different sections at Head office, establishment, & liasoning with Govt. departments for related matters.
4. Functioning as contact officer for Assembly Questions.
Other miscellaneous iobs and such other duties as may be assigned from time to time.

Procedure Followed in Decision Making Process

[Section-4(1)(b) (iii)]

  1. The decision-making process in the Corporation is very transparent and effective. The proposals emanating from any branch are thoroughly examined by concerned wings like finance, technical and HR wings as per delegation of Power of the Corporation.
  2. After thorough deliberation by constituted committees (if any), the decisions are taken by the respective officials according to the delegation of power of the Corporation or by the Board, as the case may be.
  3. Policy guidelines which require approval/ concurrence of the State Govt. are forwarded to the State Govt. for approval and only after receipt of the Govt. approval, such proposals are implemented/carried out.

For discharging the functions of Engineering personnel at different level such as M.D, E.I.C, CGM, GM, SPM are being followed as per OPWD code, company’s act and other Govt. guidelines.

Particulars of any Arrangement in Formulation of Policy

[Section-4 (1) (b) (vii)]

  1. The OBCC Ltd. is incorporated under the Companies Act, 1956. It is a separate legal entity. It is managed by a Board of Directors consisting of Government Directors and Independent Directors.
  2. The day-to-day Management of the Corporation is looked after by the Managing Director as authorized by the Board of Directors.
  3. However, being a State Govt. Undertaking the polices of the State Govt. as applicable are complied with through its Administrative Department.
  4.   Besides, various policies are framed by the BOD for discharging effective and efficient operations of the Corporation.
